While Jensen and Carver are working out the mechanics of the brand new program and planning how to attract potential investors, several attorneys with regional law firm Snell and Wilmer began studying Opportunity Zones and meeting with interested investors as soon as the Tax Cuts and Jobs Act passed in December. Tax attorney Marc Schultz, a partner at the Phoenix office, chairs the firm’s practice group on Opportunity Zones. “None of us would be doing this is we didn’t think this was a big deal,” Schultz said. Schultz explained that the Opportunity Zone program is aimed at investors who sell an asset, like property or a stock, and want to reinvest those capital gains. For example, if an investor bought $100,000 in Apple stock years ago and then sold that stock today for $1 million, that sale generates $900,000 in capital gains. With the creation of Opportunity Zones, that investor can now choose to roll those gains into an opportunity fund — essentially a self-certified business entity like a limited partnership — and defer any taxes on the gains until December 2026 if the money is used to purchase property or investment in business equity. The investor would then have to report those gains as income on their April 2027 tax returns, but they would only have to pay 85 percent of the tax normally owed. Those are attractive tax incentives, Schultz said, but the most significant benefits come after the opportunity fund holds an investment in an Opportunity Zone for more than 10 years.
